These are the terms you agree to when you use Kresa. You subscribe monthly and can cancel any time. You own your content and your customers' data. Kresa's AI can be wrong, and you stay responsible for what your agent says. Ontario law governs.
The agreement
Kresa is operated by Prism Cloud Consulting Inc. ("Prism", "we", "us"). By creating a workspace or using the service you ("you", "the customer") accept these terms. If you accept on behalf of a company, you confirm you are able to bind it.
Our Privacy Policy forms part of this agreement. Where the two conflict on a question of data protection, the Privacy Policy governs.
What Kresa is
Three things: Kresa Chat, an AI chat agent embedded on your website; the Kresa Phone Receptionist, an AI agent that answers inbound calls; and browser voice, the same voice agent running inside your website.
Agents answer from knowledge bases built out of your website and your documents, and can transfer calls, take messages, capture leads, book appointments and escalate to a person.
Your account
You are responsible for your credentials, your API keys, and everything your team does inside your workspace. Tell us promptly if you think an account or key has been compromised. Owners and admins manage the member list, and keeping it current is your responsibility.
Your content and your customers' data
You own your content — the knowledge sources you upload, your configuration and prompts, and the conversations your agents handle. You grant us a limited licence to host, process and transmit it, solely to provide the service, support you, and meet our legal obligations.
We do not use your conversations to train shared AI models.
You are the controller of your customers' personal information and we are your processor. You confirm you have the lawful basis, notices and consents needed for us to process it on your behalf.
What you owe your own customers
This section is not boilerplate. It is the part of the agreement most likely to matter to you.
- Publish your own privacy notice. It should cover the fact that an AI agent handles your calls and chats, what it collects, and who processes it.
- Handle the recording and transcription disclosure. Kresa tells callers at the start of a call that they are speaking with an automated assistant and that the conversation is transcribed, and tells them before voicemail records. You remain responsible for any consent the law where you operate requires — several US states require every party to consent, not just the business.
- Get consent for outbound messages. When Kresa sends confirmations, reminders or satisfaction requests, you are the sender. CASL, the TCPA and their equivalents are your obligation, including consent, identifying yourself, and unsubscribe.
- Keep regulated data out unless we have agreed in writing. Kresa is not offered as a HIPAA-compliant service and we do not sign Business Associate Agreements. Do not put protected health information, payment card data or government identifiers into it without a signed addendum.
- Keep your knowledge base lawful. You confirm you are entitled to ingest the sites and documents you point us at.
Acceptable use
Do not use Kresa to:
- break the law, or record or intercept communications without the consent the law requires;
- impersonate a person or organisation you are not authorised to represent;
- harass, defraud or deceive anyone;
- send unsolicited bulk messages;
- generate defamatory content, content that sexually exploits minors, or incitement to violence;
- interfere with the service, or attempt to reach another customer's workspace;
- resell or benchmark the service without our agreement, or work around plan, rate or minute limits.
We may suspend an account immediately where its use presents a legal, security or other-customer risk, and we will tell you why as soon as we reasonably can.
Phone numbers and telephony
Two things people are surprised by. Releasing a Kresa-provisioned number is permanent. It returns to the carrier pool and cannot be recovered, by us or by anyone. Kresa-provisioned numbers also cannot currently be ported out — release is the only exit.
Kresa is not a telephone service and does not reach 911, 988, or any emergency or relay service. Do not present a Kresa number as one that reaches emergency services. Keep a separate line that does.
- Numbers we provision are bought on our carrier account and assigned to your workspace.
- Numbers you bring stay yours; we only unlink them.
- Transfers use the caller ID you configure and only reach numbers on your allow-list.
- How your calls are named and labelled is decided by third-party carriers, not by us, and we do not warrant it.
What we do and do not promise about AI output
Kresa's agents are generative AI systems and they can be wrong. They can mis-hear speech, retrieve the wrong passage, state something your documents do not support, or give a confident answer that is simply incorrect.
- Output is provided as is, with no warranty of accuracy, completeness or fitness for a purpose.
- It is not professional advice — not medical, dental, legal, financial, tax, insurance or engineering advice, and not a substitute for a properly trained and licensed person. If you work in a regulated profession, configuring the agent to stay inside your regulator's rules is your job.
- You must review output, including by a person where that is appropriate, before relying on it or letting your customers rely on it. That duty is ongoing, not a one-time check at onboarding.
- You are responsible for what your agent says, because you supply its knowledge, persona and instructions. Statements it makes about your prices, availability or policies may bind you as against your customer.
- Callers are told they are speaking with an automated assistant, and you must not configure the agent to deny or obscure that.
Fees, billing and cancellation
- Month to month unless you have signed something else. Fees are the ones shown when you subscribe, in the currency you selected.
- Payments are processed by Stripe. You authorise recurring charges until you cancel. We do not store card details.
- Cancel any time. It takes effect at the end of the current billing period, and we do not refund partial months except where the law requires it.
- If a payment fails, we retry, and after a seven-day grace period paid features drop to the free tier until payment succeeds.
- Price changes come with at least 30 days' notice. Existing subscriptions keep the price and any discount captured at signup until we notify you.
- Taxes are additional where we are required to collect them, and plan usage limits apply — voice sessions stop at the monthly ceiling.
Availability and support
We target 99.9% monthly availability. That is a target, not a contractual service level, and no service credits are offered on standard plans. Scheduled maintenance, your own configuration errors, and failures at upstream carriers, AI providers, speech providers and cloud regions are excluded.
We do not guarantee that any given call will be answered. Telephony providers go down, cloud regions go down, and models go down. Keep a phone line and a fallback answering arrangement that you control. Business lost to a missed call is not a loss we underwrite.
Support is by email during Canadian business hours. Our staff can access your workspace only under a grant you issue — scoped, audited, and endable by you at any time.
Changes to the service
We may add features without changing your price. If we remove or materially degrade a feature you rely on, we will give at least 30 days' notice. Features marked beta are provided as-is and may change or be withdrawn.
Confidentiality and intellectual property
Each party protects the other's non-public information with at least reasonable care. Prism owns the platform, its software and documentation; you own your content; feedback you give us we may use freely. Nothing here transfers ownership in either direction.
Warranties and liability
Disclaimer
Each party warrants that it is able to enter this agreement. Otherwise Kresa is provided "as is" and "as available", and we disclaim all implied warranties — including merchantability, fitness for a particular purpose, non-infringement, and any warranty that output will be accurate, uninterrupted or error-free.
Limitation
To the maximum extent the law permits:
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill — including business lost through a call the service failed to answer, or answered incorrectly.
- Each party's total aggregate liability is capped at the fees you paid in the 12 months before the claim.
- These limits do not apply to your payment obligations, to the indemnities below, or to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.
Nothing here limits rights you may have under Ontario's Consumer Protection Act or equivalent legislation where it applies to you.
Indemnities
You indemnify us against third-party claims arising from your content or knowledge sources, from breach of the "what you owe your own customers" or "acceptable use" sections, from your failure to give a notice, obtain a consent or make a recording disclosure the law required, and from your outbound messaging.
We indemnify you against third-party claims that the platform, used as permitted, infringes a Canadian, US, UK or EU intellectual property right — provided you notify us promptly and let us control the defence. We may modify or licence the affected feature, or withdraw it with a pro-rata refund.
Term and termination
Either party may terminate at the end of a billing period, or immediately for a material breach that is not cured within 30 days. We may suspend or terminate immediately for the conduct described under acceptable use, or for non-payment after the grace period.
On termination, agents stop answering and Kresa-provisioned numbers are released. You may request an export for 30 days afterwards, and we then delete data as described in the Privacy Policy. The sections on your content, confidentiality, intellectual property, warranties, liability, indemnities and governing law survive.
Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada that apply in it, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
The courts of Toronto have exclusive jurisdiction, except that either party may seek injunctive relief wherever it needs to. Before filing, the parties will attempt to resolve the dispute in good faith for 30 days.
General
Either party may assign this agreement on notice in a merger or sale of substantially all assets, and otherwise only by consent. Notices to you go to your workspace email address. If a provision is unenforceable the rest stands, and not enforcing something is not a waiver of it. Neither party is liable for delays outside its reasonable control.
